1. Acceptance of Terms

By downloading, installing, accessing, or using FX Recall, including the FX Recall website, desktop applications, account features, plugin scanning tools, cloud synchronization features, and related services collectively referred to as the “Service,” you agree to be bound by these Terms & Conditions.

If you do not agree to these Terms, you may not access or use the Service.

2. Description of the Service

FX Recall is a Windows and macOS application designed to help users scan their computers for installed audio plugins, generate a plugin inventory log, add user-created notes, sync plugin inventory data with the cloud so it may be accessed across devices, and optionally receive reinstall guidance through FX Recall Pro features such as the Reinstall Wizard.

FX Recall is an organizational, inventory, and guidance tool. It does not sell, license, install, unlock, authorize, or provide third-party audio plugins.

3. Eligibility

You must be at least 13 years old, or the minimum age required in your jurisdiction, to use the Service. By using the Service, you represent that you are legally able to enter into these Terms.

4. User Accounts

Certain features require an account using an email address and password. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to provide accurate account information and to notify us promptly if you believe your account has been accessed without authorization.

5. Device Scanning and Local Data Access

To provide its core functionality, FX Recall may scan your computer for installed audio plugins, plugin folders, plugin names, plugin formats, plugin locations, metadata, and related installation information.

FX Recall is intended to scan audio plugin-related locations and information. It is not intended to access unrelated personal files. By using the Service, you authorize FX Recall to perform scans necessary to identify and organize your audio plugin inventory.

You are responsible for ensuring that you have the right to scan and store information from the device on which FX Recall is installed.

6. Cloud Sync and Stored Data

FX Recall may sync your plugin inventory, plugin metadata, user-created notes, account information, and related data to cloud-based systems so that your inventory can be backed up and accessed from other devices.

While we use reasonable safeguards to protect data, no method of transmission or storage is completely secure. You acknowledge that cloud sync and online account features are used at your own risk.

7. User Notes and User Content

FX Recall may allow you to add notes, labels, download reminders, license reminders, authentication details, install details, links, or other user-generated content to your plugin inventory.

You retain ownership of the content you create. By using the Service, you grant FX Recall a limited, non-exclusive license to store, process, transmit, display, and sync that content solely as needed to operate and improve the Service.

You are responsible for the accuracy, legality, and appropriateness of any content you add to FX Recall.

8. Reinstall Wizard and Guidance

FX Recall Pro may include Reinstall Wizard features that generate reinstall steps, official download paths, account reminders, license manager guidance, and related information based on your plugin inventory.

Reinstall Wizard output is provided for convenience only. It may be incomplete, outdated, inaccurate, unavailable, or different from the current requirements of a third-party plugin vendor. You are responsible for verifying download pages, license requirements, compatibility, and installation steps with the applicable plugin vendor.

FX Recall does not install plugins for you, does not authorize third-party software, does not guarantee that any third-party plugin can be recovered, and does not replace official vendor documentation or support.

9. No Guarantee of Plugin Recovery or Availability

FX Recall helps you document your plugin setup, but it does not guarantee that plugins, installers, license keys, authorization systems, download links, third-party accounts, vendor websites, or Reinstall Wizard guidance will remain available, accurate, compatible, or accessible.

You are solely responsible for maintaining your own plugin licenses, installer backups, vendor accounts, purchase records, and project backups.

10. Third-Party Plugins, Brands, and Services

FX Recall may detect, display, organize, or reference third-party audio plugins, plugin manufacturers, product names, file formats, license managers, account portals, documentation, support pages, or download sources. FX Recall is not affiliated with, sponsored by, or endorsed by any third-party plugin developer or brand unless expressly stated.

All third-party trademarks, product names, logos, and brands are the property of their respective owners.

11. Acceptable Use

You agree not to:

• Use the Service for unlawful, harmful, fraudulent, or abusive purposes.
• Attempt to gain unauthorized access to FX Recall systems, accounts, or data.
• Reverse engineer, decompile, modify, or create derivative works from the Service except where allowed by law.
• Interfere with, disrupt, or overload the Service or related infrastructure.
• Use the Service to store content that violates the rights of others or applicable law.
• Use the Service to obtain, share, bypass, crack, pirate, or unlawfully access third-party software, licenses, accounts, or copy-protection systems.
• Abuse, automate, scrape, or excessively call Reinstall Wizard or other cloud features in a way that could harm, overload, or increase costs for the Service.

12. Software Updates and Changes

We may update, modify, suspend, or discontinue any part of the Service at any time, including features, supported platforms, scanning behavior, cloud sync functionality, and account features.

Updates may be required for continued use of the Service.

13. Free Features, Pro Features, and Payments

FX Recall offers free features and may offer optional paid features, including FX Recall Pro. Pro features may include Reinstall Wizard guidance, additional rebuild assistance, or other premium functionality described at the time of purchase.

Unless otherwise stated at checkout, FX Recall Pro is sold as a one-time lifetime access purchase for the account used at checkout. “Lifetime” means the lifetime of the FX Recall product and Service as operated by us, not the lifetime of any user, device, operating system, third-party plugin, vendor, or external service.

Prices, features, promotional offers, and availability may change over time. Any purchase terms presented during checkout are incorporated into these Terms.

14. Stripe and Third-Party Payment Processing

Payments for paid features may be processed by Stripe or another third-party payment processor. FX Recall does not directly store your full payment card number. Payment processing is subject to the payment processor’s terms, privacy policy, security practices, and checkout flow.

By purchasing a paid feature, you authorize the payment processor to charge the payment method you provide for the amount shown at checkout, including any applicable taxes, fees, or currency conversion charges.

We may receive limited payment-related information from the payment processor, such as payment status, customer ID, checkout session ID, email address, and transaction metadata, so that we can activate or manage paid features on your FX Recall account.

15. Refunds, Chargebacks, and Access Changes

Refund eligibility, if any, is determined by FX Recall in its discretion unless applicable law requires otherwise. If you believe a charge was made in error, contact us at hello@fxrecall.com.

If a payment is refunded, reversed, disputed, charged back, declined, or found to be fraudulent, we may suspend, revoke, or modify access to paid features associated with that purchase.

16. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how information is collected, used, stored, and shared. By using FX Recall, you agree to the practices described in the Privacy Policy.

17. Data Loss and Backups

Although FX Recall is designed to help maintain a cloud-synced plugin inventory, we do not guarantee that any data, notes, scan history, Pro status, or Reinstall Wizard output will be preserved, recoverable, error-free, or available at all times.

You are responsible for maintaining independent backups of important information, including plugin licenses, installers, purchase records, project files, and any notes you consider important.

18. Termination

We may suspend or terminate your access to the Service at any time if we believe you have violated these Terms, used the Service improperly, created risk for other users, or if continued operation is no longer commercially or technically feasible.

You may stop using the Service at any time.

19. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, FX Recall disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, compatibility, availability, payment processing availability, Reinstall Wizard accuracy, and uninterrupted operation.

20. Limitation of Liability

To the maximum extent permitted by law, FX Recall and its owners, operators, affiliates, employees, contractors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost data, lost profits, lost projects, software conflicts, business interruption, plugin incompatibility, inability to recover plugins, incorrect reinstall guidance, failed downloads, payment processor issues, or loss of access to third-party accounts or downloads.

21. Indemnification

You agree to indemnify and hold harmless FX Recall and its owners, operators, affiliates, employees, contractors, and service providers from any claims, damages, liabilities, losses, costs, or expenses arising from your use of the Service, your violation of these Terms, your content, or your violation of any law or third-party rights.

22. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we may provide notice through the Service, by email, or by posting an updated version on our website. Your continued use of the Service after updated Terms become effective means you accept the revised Terms.

23. Governing Law

These Terms will be governed by the laws of the jurisdiction in which FX Recall operates, without regard to conflict of law principles, unless applicable law requires otherwise.
